1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Rememory AI (“Rememory”, “we”, “us”), governing your access to and use of the Rememory AI platform, website, and all associated services (collectively, the “Service”).

By creating an account, uploading a photo, initiating a free preview, or completing a purchase, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Last updated” date above and, where practicable, by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

2. Description of Service

Rememory AI is an AI-powered photo restoration studio that helps individuals and families revive, enhance, and preserve aged, damaged, or low-resolution photographs. Our core capabilities include:

• Automated AI restoration, colorisation, and sharpening of uploaded photos.
• A free, watermarked preview of every restoration — you see the result before spending any credits.
• HD, watermark-free download upon credit redemption or purchase.
• Family Vault cloud storage, Memory Book builder, and Batch Rescue tools.
• Subscription plans for regular users and professional photographers.

The Service is provided “as is” and the quality of AI restoration results varies depending on the condition, resolution, and age of the original photograph. We make no guarantee that every restoration will meet your expectations, which is why we provide the free preview before any payment is required.

3. Accounts & Eligibility

3.1 Eligibility

You must be at least 18 years old to create an account and make purchases. If you are between 13 and 17 years old, you may use the Service only under the supervision of a parent or legal guardian who accepts these Terms on your behalf. The Service is not directed at children under 13.

3.2 Account Registration

To access certain features you must register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@rememoryai.com if you suspect unauthorised access.

3.3 One Account Per Person

Each individual may hold one personal account. Businesses may hold separate business accounts. Creating multiple accounts to circumvent credit, trial, or refund policies is prohibited and may result in immediate termination of all associated accounts.

4. Acceptable Use

By using the Service you agree that you will not:

• Upload photographs of people for whom you do not hold the right to submit for processing (e.g., photos you do not own, or photos of individuals who have not consented where consent is legally required).
• Upload, generate, or request content that is illegal, obscene, defamatory, threatening, or that violates the privacy or intellectual-property rights of any third party.
• Use the Service to produce deepfakes, to misrepresent the identity of any person, or to create content intended to deceive or defraud.
• Attempt to reverse-engineer, scrape, or extract the underlying AI models, algorithms, or infrastructure of the Service.
• Use automated tools, bots, or scripts to access the Service in a manner that exceeds normal human usage.
• Resell, sublicense, or commercially redistribute outputs produced by the Service unless you hold an active Business plan that includes a commercial licence.
• Violate any applicable local, national, or international law or regulation in connection with your use of the Service.

We reserve the right to investigate suspected violations, suspend access, and report unlawful conduct to appropriate authorities.

5. Credits, HD Restorations & the Free Preview

5.1 Free Preview

Every photo you upload receives a free, watermarked AI restoration preview at no cost. No credits are consumed and no payment is required to view this preview. The free preview allows you to evaluate the quality of the restoration before deciding whether to purchase the HD, watermark-free version.

5.2 Pay-Per-Photo HD Restoration

Redeeming a single HD restoration costs one (1) credit or is available as a direct pay-per-photo purchase. HD restorations are watermark-free and available at full print resolution.

5.3 Credit Packs

Credits may be purchased in packs (e.g., 10 credits for $9.99). Credits are applied to your account immediately upon successful payment confirmation and are redeemable against any HD restoration or premium feature that requires a credit. Credits never expire and remain available for use for the lifetime of your account, provided your account remains in good standing.

5.4 Credit Non-Refundability

Credits are non-transferable between accounts. Unused credits are not redeemable for cash except as required by applicable law or as described in our Refund & Cancellation Policy.

5.5 Failed Restorations

If a restoration job fails due to a technical error on our end, no credit is deducted from your account and no charge is levied. You will be notified of the failure and invited to retry.

6. Billing, Payments & Subscriptions

6.1 Payment Processor — Paddle

All payments made through Rememory AI are processed by Paddle.com Market Limited, a company registered in England & Wales (registered number 08172165), which acts as the Merchant of Record and authorised reseller of all Rememory AI products and subscriptions. This means that when you make a purchase, your legal transaction is with Paddle, not directly with Rememory AI.

Paddle handles all aspects of payment processing, invoicing, VAT and sales-tax calculation, tax remittance, and billing enquiries. If you have a question about an invoice, a charge, or a payment method, please contact Paddle's support team directly or reach out to us at support@rememoryai.com and we will liaise with Paddle on your behalf.

6.2 Subscription Plans

Rememory AI offers monthly and annual subscription plans (currently “Pro” and “Business”). Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select).

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise Paddle to charge your chosen payment method on a recurring basis. You will receive a reminder email before each renewal.

6.4 Price Changes

We reserve the right to change subscription pricing. We will give you at least 30 days' notice of any price increase before it takes effect on your account. Continued use of the Service after a price change comes into effect constitutes your acceptance of the new price.

6.5 Taxes

Paddle, as the Merchant of Record, is responsible for calculating, collecting, and remitting applicable taxes (including VAT and GST) in jurisdictions where required. Prices displayed on the site may or may not include tax depending on your location; applicable tax will be shown at checkout.

7. Subscription Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at support@rememoryai.com. Cancellation takes effect at the end of the current billing period. You will retain full access to your plan benefits until that date. We do not offer pro-rata refunds for the unused portion of a billing period unless required by applicable law.

Credits purchased as part of a subscription plan that remain unused at the time of cancellation may be retained for use on a pay-per-photo basis unless the plan explicitly states otherwise.

8. Intellectual Property

8.1 Your Photos

You retain all intellectual property rights in the original photographs you upload to Rememory AI. By uploading a photo, you grant Rememory AI a limited, non-exclusive, royalty-free licence to process that photo solely for the purpose of delivering the restoration service to you. This licence terminates when you delete the photo from your account or close your account.

8.2 Restored Outputs

The AI-restored version of your photo (“Output”) is made available to you under a personal licence. You may download, print, and share Outputs for personal, non-commercial purposes on any plan. Business plan subscribers receive a commercial licence permitting use of Outputs in client work and commercial projects.

8.3 No AI Training on Customer Photos

Rememory AI does not use your uploaded photographs or your restored Outputs to train, fine-tune, or improve AI models. Your photos are used exclusively to fulfil the restoration you requested. See our Privacy Policy for details of how your photos are stored and protected.

8.4 Rememory AI's Intellectual Property

All rights in the Rememory AI platform, brand, software, models, and documentation are reserved by Rememory AI. Nothing in these Terms transfers ownership of our intellectual property to you.

9. Disclaimers & Limitation of Liability

9.1 “As Is” Disclaimer

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Rememory AI disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that results will meet any specific quality standard.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Rememory AI's total cumulative liability arising from or related to these Terms or the Service — whether in contract, tort, statute, or otherwise — shall not exceed the greater of (a) the total amount you paid to Rememory AI in the 12 months preceding the event giving rise to the claim, or (b) US $50.

In no event shall Rememory AI be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data or loss of profits, even if we have been advised of the possibility of such damages.

10. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service immediately and without notice if we determine that you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or to the integrity of the Service.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, disclaimers, and governing law survive termination.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of the Republic of Seychelles.

If you are a consumer resident in a jurisdiction where mandatory consumer-protection laws apply, nothing in these Terms limits rights you are entitled to under those laws.
